A new jurisdiction does not always require a new company.
Company redomiciliation, also called continuation, allows an eligible overseas company to move its registered office to Cyprus while continuing as the same legal entity, rather than being dissolved and replaced. The home jurisdiction must permit the move, the company’s constitution must support it, and the applicable Cyprus requirements must be met. Registrar: eligibility and preparation
What does redomiciliation preserve?
The central benefit is legal continuity. The company’s assets, rights, debts and liabilities continue with it. Its corporate history is not replaced by the history of a newly formed entity. Continuation does not erase claims, prevent enforcement or release existing obligations. The date of Cyprus continuation should be distinguished from the company’s original incorporation history. Companies Law, sections 354C, 354E and 354F
Our practical recommendation is to review material contracts, finance documents, insurance, intellectual-property records and banking arrangements before filing. Identify any notification, consent or updating requirements. “Same company” should not be presented as a promise that every commercial relationship will remain unchanged.
A company that needs a Cyprus licence must obtain it before commencing the regulated activity. Continuation is not a substitute for regulatory authorisation. Companies Law, section 354D
First choose the correct legal route
The steps below describe the Registrar’s continuation procedure under sections 354A onwards of the Companies Law. For a qualifying move between EU Member States, the separate cross-border conversion regime must also be assessed; the ME1-ME4 procedure should not be assumed to be the appropriate route for every intra-EU move. Law 26(I)/2024: cross-border conversions

How to redomicile a company to Cyprus
1. Confirm eligibility and identify obstacles
Check that the country or jurisdiction of incorporation is eligible and allows outward continuation, and that the company’s constitutional documents permit continuation elsewhere. Agree the proposed company name, registered office, officers, ownership and constitutional arrangements in Cyprus. Registrar: decisions before continuation
Good standing and solvency must be evidenced. The statutory rejection grounds include specified insolvency, liquidation, enforcement and law-violation proceedings. These are eligibility checks, not issues to leave until after the move. Companies Law, sections 354C and 354I [Greek: 354Θ]
We recommend an initial review involving Cyprus counsel, counsel in the departure jurisdiction and the company’s tax advisers. Before committing to a date, map approvals, creditor and employee requirements, regulatory permissions and any banking dependencies.
2. Approve the move and prepare the documents
Obtain the necessary corporate resolutions and Cyprus name approval. The application package includes the revised constitutional document, certificate of good standing or equivalent, director’s solvency affidavit, authorising resolution and official evidence that the original registry has been informed. Supporting corporate particulars and any additional consents must meet the applicable requirements. Registrar: application and supporting documents
Certification or legalisation and Greek translation requirements should be checked before documents are ordered. Public, listed and regulated companies may need additional supporting material. Registrar: certification, translations and additional requirements
3. Submit the continuation application
The Cyprus lawyer or law firm representing the company submits form ME1 with the supporting documents and applicable fees. The current consolidated form includes the lawyer’s declaration. The filing should follow the Registrar’s current form and explanatory notes, not an old checklist copied from a previous transaction. Registrar: current ME1 procedure
4. Obtain the temporary certificate of continuation
Once satisfied with the application, the Registrar provisionally registers the company and issues a temporary certificate of continuation. From the relevant effective date, the company is subject to Cyprus company-law obligations and can exercise the powers of a company registered under that law. This is a substantive legal stage, not merely an acknowledgement of filing. Registrar: effect of temporary continuation
5. Complete the departure formalities and final registration
Coordinate cessation from the original register as part of the continuation process, rather than dissolving the company. Form ME4 is used to provide the required evidence of cessation and return the temporary certificate so that the final certificate of continuation can be issued. Registrar: ME4 and final-stage evidence
The normal evidence deadline is six months from issue of the temporary certificate. The Registrar may allow a further three months for reasonable cause; this is not an automatic extension. These are completion deadlines, not a promise that every redomiciliation takes six months. Registrar: completion timetable
6. Put ongoing compliance into operation
Plan tax registration, VAT and employer registration where applicable, corporate-record updates, annual returns and financial reporting. The Registrar’s after-continuation guidance should be checked against the company’s actual activities. Assign an owner and a deadline to each obligation, rather than treating the final certificate as the end of implementation. Registrar: obligations after continuation
What about Cyprus tax residence?
The current Income Tax Law includes a Cyprus-incorporated company within Cyprus tax residence unless a double-tax treaty provides otherwise. It expressly treats a company that has transferred its registered office or seat to Cyprus as incorporated in Cyprus. A blanket statement that redomiciliation has no tax-residence effect, or that only management and control matters, would therefore be misleading. Income Tax Law, section 2
This does not establish the full tax outcome in either jurisdiction. We recommend a separate review of possible foreign exit charges, continuing foreign tax exposure, treaty treatment, management and substance, asset tax values and the intended payment flows before implementation. No tax saving should be assumed from the continuation certificate alone.
Is continuation the right commercial choice?
Start with the business objective: do you need the existing legal entity to continue in Cyprus, or do you need a separate Cyprus operation while the original company remains where it is? We recommend comparing the practical consequences of those choices before selecting the filing route. Cost and timing should be estimated after the jurisdictions, documents, consents and activities have been assessed.
