THE HEADLINE RATE IS NOT THE WHOLE DECISION
Cyprus corporation tax is 15% from 2026. That rate matters, but it is not a reason by itself to form a Cyprus company. The structure should make commercial sense for the real activity, the owners, the place where decisions are made and the countries involved.
START WITH THE BUSINESS MODEL
Identify what the company will actually do: trading, consulting, holding investments, owning intellectual property, property activity or another business. Contracts, invoicing flows, banking and operational substance should follow that real activity rather than being designed only around a tax headline.
MANAGEMENT, CONTROL AND SUBSTANCE
Directors, board decisions, records, banking and day-to-day management should be planned consistently with the intended Cyprus position. Cross-border owners should also consider how another country may view the company and its management.
SALARY, DIVIDENDS AND THE SHAREHOLDER
Company tax and shareholder tax are separate layers. Salary, director remuneration and dividends should be planned with the shareholder's residence and domicile position in mind. A Cyprus-resident non-domiciled shareholder can have a different Special Defence Contribution position from a Cyprus-domiciled shareholder.
ONGOING COMPLIANCE
A Cyprus company needs more than incorporation documents. Accounting records, annual filings, tax registration, corporate tax returns, VAT where applicable, payroll where applicable, beneficial ownership information and banking due diligence all need to stay aligned.
BANKING AND SOURCE OF FUNDS
The company should be able to explain its business model, beneficial ownership, expected transactions and source of funds to its bank. Contracts, invoices and payment flows should tell the same commercial story as the corporate documents.
