
How Easy Is It to Run a Cyprus Company in 2026?
Is it difficult to run a Cyprus company? In most cases, no. The structure is familiar and practical. The difficulty usually starts when a company is incorporated quickly but no one builds the compliance system that keeps it current.
What does a private Cyprus company need?
A private company must have at least one director and a secretary, a registered office in Cyprus and properly maintained corporate records. In a private company with one member and one director, the same person may also act as secretary. The memorandum and articles set the company's objects and internal decision making rules.
Tax registration starts early
A company must register with the Tax Registry within 60 days of incorporation or another relevant triggering event. From the 2026 tax year, the headline Cyprus corporation tax rate is 15 per cent.
The accounting records matter
Directors are responsible for ensuring that proper accounting books and records are maintained and that the company's financial position can be established. Financial statements and the annual return form part of the recurring compliance cycle.
Annual return and financial statements
A company prepares an annual return once each calendar year. The Registrar guidance requires the annual return to reflect the company's current registered particulars and to be filed with the relevant financial statements within the applicable filing timetable.
Do companies still pay the 350 euro annual levy?
No. The annual company levy was abolished from 2024 onwards by Law 25(I)/2024. Historic annual fees for earlier years may still remain relevant where unpaid.
UBO compliance is not optional
The beneficial ownership register must be kept up to date. For 2026, the Registrar has announced a confirmation window from 1 October to 31 December 2026 for companies and other entities within the system. Failure to complete the annual confirmation can lead to administrative penalties.
What if the company employs staff?
An employer must also deal with employment and social insurance registration and ongoing payroll obligations. VAT registration and other sector specific registrations may also apply depending on the company's activities.
So, how easy is it really?
It is easy to operate a Cyprus company when there is a clear annual compliance calendar, a maintained corporate file, proper accounting, UBO control, tax registration and prompt notification of changes to directors, shareholders, registered office, capital or charges.
