A company’s ownership may be unchanged, but its annual UBO confirmation still needs attention. The 2026 confirmation window opens on 1 October and closes on 31 December. Preparing the file now gives directors time to resolve discrepancies before making the declaration.

What the Registrar has announced

The announcement dated 16 September 2026 covers companies incorporated or registered under the Companies Law, Cap. 113, European public limited companies and partnerships within the beneficial ownership regime. The relevant information must be confirmed electronically, whether it concerns beneficial owners, senior management officials or the applicable due diligence position. Any claimed exemption needs to be checked against the entity’s actual circumstances.

No changes does not mean no action

The annual confirmation is required even when the recorded information has not changed. A previous year’s confirmation is not the 2026 confirmation. Before confirming, compare the electronic record with the current ownership and control position, rather than simply repeating last year’s entry.

Keep three different obligations separate

Initial registration: a newly incorporated or registered entity normally has 90 days to submit its beneficial ownership information.

Changes: the Registrar’s guidance requires an update within 45 days from the date the change in beneficial ownership information comes to the entity’s attention.

Annual confirmation: the 2026 exercise must take place between 1 October and 31 December. An outstanding initial filing or update should not be postponed until the annual window opens.

The order of filing matters

Where an initial submission, amendment or another relevant action falls within the confirmation period, complete that action first and then confirm the information. The announcement expressly includes entities whose 90-day initial submission deadline falls within that period.

Only one annual confirmation is needed within the window. A later change does not require a second annual confirmation, but the obligation to update the changed information remains.

A practical file check before submission

Start with the correct legal name and registration number. Establish who has authority to file and who will review the entry. Where an accountant or corporate services provider is involved, agree who is doing the work so that nobody assumes somebody else has completed it.

Check the ownership chain and the basis on which each person is recorded. A shareholder certificate alone may not explain beneficial ownership or control. Where information is missing or inconsistent, resolve it before confirming that the record is correct.

Do not close the task when a draft has merely been saved. The official procedure requires Final Submission. Retain the system’s completion evidence, the year confirmed and the date of submission in the company’s file.

Late confirmation carries a financial penalty

The announcement states that failure to confirm by 31 December 2026 exposes the company or other legal entity to €100 for the first day of non-compliance and €50 for each subsequent day, up to €5,000. This is without prejudice to any criminal liability or prosecution. It is better to identify a missing record now than discover it at the deadline.

Frequently asked questions

Our company has not traded. Can we ignore the confirmation?

Inactivity is not, by itself, an exemption. Check the entity’s current legal status and the applicable requirements before excluding it from the exercise.

We changed the registered office. Is the UBO record also updated?

Do not assume so. The Registrar explains that the companies register and the beneficial ownership register are separate. Check the relevant UBO record independently.

Does a filing made in 2025 cover 2026?

No. The annual confirmation relates to the particular calendar year. Existing information must be checked and the 2026 confirmation completed during the 2026 window.
