Cyprus Pillar Two: What Group Companies Should Check Before 30 September 2026

For Cyprus companies in large groups, 30 September 2026 is a practical compliance checkpoint - not a general tax-return extension. The Tax Department’s first-year Pillar Two relief is conditional on completing the covered filings and payments by that date. Directors should establish exactly what their entity must do, rather than assume the parent company has dealt with everything.
Does this concern your Cyprus company?
Pillar Two addresses a 15% minimum effective tax level for in-scope groups. Cyprus Law 151(I)/2024 generally covers constituent entities of multinational or large domestic groups with consolidated annual revenue of at least €750 million in at least two of the four preceding financial years, subject to exclusions. A small Cyprus subsidiary can therefore be affected by its group’s size. This is not a general filing requirement for every independent small business.
What the 30 September relief actually covers
The announcement of 15 June 2026 concerns first reporting years beginning between 31 December 2023 and 31 December 2024. Paragraph 8 removes administrative penalties, interest and surcharges for the specified returns, notifications and top-up-tax payments due before 30 September 2026, provided the respective filing or payment is completed by that date. It is conditional administrative relief, not a blanket replacement of statutory deadlines.
Separate the information return, notifications and tax return
The Top-Up Tax Information Return, T.D.336 (TTIR/GIR), is distinct from local notifications and the IIR tax-due return, T.D.335. Qualifying central filing may satisfy the information-return requirement, but required Cyprus notifications remain. T.D.335 concerns Cyprus parent entities with an IIR filing obligation, including nil returns where that obligation applies; it should not automatically be assigned to every subsidiary.
The first-year TTIR timetable is generally 18 months after the reporting year-end or 30 June 2026, whichever is later. The applicable IIR return and payment are due within 30 days of the TTIR deadline. For a calendar-year 2024 example, that distinguishes 30 June from 30 July 2026. The September relief is a separate question.
Our practical recommendation for directors
Request one written compliance status from the group tax lead and the Cyprus adviser. It should identify the relevant reporting year, each Cyprus entity, the chosen filing entity and jurisdiction, every required local notification, and any IIR return and payment still outstanding. Ask for evidence of completed submissions, not just confirmation that preparation is underway.
Allocate a named owner to every remaining action and set an internal completion date before the relief ends. Confirm that Tax For All access and representative authorisations work, that the figures have been reconciled, and that any required funds are available. Keep submission receipts and payment confirmations together with the group’s scope analysis and filing instructions. Do not leave responsibility divided informally between headquarters, local directors and external advisers.
Avoid assumptions about penalties after September
Unfinished obligations should not be treated as protected indefinitely. Article 49(12) contains a separate, conditional good-faith transitional provision concerning information-return penalties. It is not a general waiver of tax or payment-related interest. Any exposure or relief must be assessed for the particular obligation.
