Cyprus Reservation Deposits: What Overseas Buyers Should Check Before Paying

Do not pay a Cyprus property reservation deposit until the reservation terms state exactly what is being reserved, who will hold the money, when it may be released and when it must be refunded. A reservation agreement is not the same as a Land Registry-deposited sale contract. Its protection is primarily contractual, so legal checks and clear refund triggers should come before payment, not after it.

What a reservation deposit does and does not do

A reservation agreement may take a property off the market for a defined period while the buyer's lawyer completes enquiries and negotiates the sale contract. The payment is often credited against the price if the purchase proceeds. There is no single statutory form or universal set of refund rights. Its effect depends on the wording, parties, authority and payment circumstances.

Do not assume that a reservation automatically receives protection under the Specific Performance Law. That framework concerns a qualifying written sale contract deposited at the Department of Lands and Surveys. Whether a preliminary document qualifies is a legal question, not a label chosen by an agent or seller.

Checks to complete before paying

Identify the seller and the property

The document should give the seller's full legal name and identify the property precisely. For a titled property, include the registration particulars. Without a separate title, identify the underlying land, unit, plans, parking, storage and exclusive-use areas. Confirm the recipient's authority to sign and receive money, including company or agency authority.

Ask for Land Registry evidence

The Department of Lands and Surveys advises checking ownership, mortgages, memos, court sale orders, earlier deposited contracts and personal prohibitions affecting the owner.

For a final sale contract concluded on or after 12 December 2023, the seller must attach a property search certificate dated within five working days of the contract. This safeguard does not justify paying a reservation deposit without earlier information. A lawyer may require a current search before advising on payment.

Check title, permits and the physical property

A title deed confirms registration, but notes and restrictions still matter. If there is no separate title, find out why. A unit under construction cannot yet have its final title, but a completed property without one calls for closer investigation.

Check the planning, building, division and approval documents. Compare approved plans with the property, including pools, extensions, converted areas, parking and storage. An architect, engineer or surveyor may be required alongside the lawyer.

Clauses the reservation agreement should address

The document should be brief but precise. It should normally cover:

  1. The reservation period and the seller's obligation not to market or contract with another buyer.

  2. The amount, destination account and whether the holder acts as stakeholder or may release it.

  3. When the payment is credited against the price.

  4. A due-diligence period for title, encumbrance, planning, building and company checks.

  5. Refund triggers for an unacceptable mortgage, prior contract, prohibition, title issue, unauthorised work or missing permit.

  6. Refund rights if the seller withholds documents, rejects acceptable contract terms or cannot complete.

  7. Any finance, non-EU permission or VAT condition, with evidence and deadlines.

  8. The consequence of buyer withdrawal, governing law, dispute route and receipt.

"Non-refundable" does not end the legal analysis, but neither does every failed purchase produce an automatic refund. Draft objective triggers before payment and keep evidence of compliance.

How payment should be handled

Use a traceable payment from an account consistent with the buyer's identity and source-of-funds evidence. Confirm the account holder through independently verified contact details. Verify any changed bank instruction by a trusted channel.

Avoid cash. Record who holds the money and when it may be released or returned. A "client account" or "stakeholder" label is not enough without written release terms. Clarify charges and any VAT treatment.

Prepare identity, address and source-of-funds evidence early. Anti-money-laundering compliance is separate from acquisition permission and property due diligence.

What happens after reservation

The lawyer should complete enquiries, negotiate the sale contract and structure payments around the risks found. An earlier mortgage or deposited contract may require the statutory Form A, B or C route and directed payments. A reservation alone is no reason to send a major instalment.

Where title is not transferred immediately, the sale contract should normally be deposited at the District Lands Office within six months. The current fee is EUR 50. Deposit gives statutory protection but does not make the buyer registered owner.

Law 239(I)/2025 repealed stamp duty from 1 January 2026. A contract signed on or after that date is not subject to it. If at least one party signed earlier, the former Land Registry stamping requirement remains relevant.

Frequently asked questions

Is a Cyprus reservation deposit always refundable?

No. It depends on the agreement, law and facts. Define objective refund events, evidence and a repayment deadline before payment.

Does paying a deposit secure my ownership?

No. It may create short exclusivity but does not transfer title. Statutory protection normally requires a qualifying sale contract and timely deposit.

Can an estate agent hold the reservation money?

Check authority, account ownership and written release terms before accepting the arrangement.

Should I pay before my lawyer receives the documents?

Usually, the safer sequence is document review, agreed terms, then payment. Urgency makes refund and stakeholder clauses more important, not less.
